1. Deposit, Staging & Cancellation Policy

Because Aradia operates a Just-In-Time (JIT) staging model, hardware procurement begins immediately upon receipt of your deposit or upfront payment.

Payment: DGX Spark requires 100% payment at checkout. DGX Station and DGX B200 require a 70% deposit.

Staging Validation: The remaining balance (if applicable) is strictly due upon your approval of the Staging Studio Validation Report (containing benchmarks, thermal logs, and hardware serials). Hardware will not be released to freight until the balance clears.

Cancellations: If an order is canceled after procurement has begun but before shipment, Aradia retains a non-refundable administrative and staging recovery fee (20% to 40% of the total deposit, depending on tier) to cover sunk engineering labor and hardware depreciation.

Abandoned Orders: Upon issuance of the Staging Studio Validation Report, the Client has thirty (30) days to remit the remaining balance. If the balance is unpaid after 30 days, the order is legally deemed abandoned. Aradia reserves the right to wipe any custom configurations, liquidate the hardware to recover capital, and retain 100% of the initial deposit.

2. Absolute Sovereignty & Zero Liability

Aradia delivers true sovereign, air-gapped compute infrastructure. Because the appliance operates entirely within your local network, Aradia LLC has zero remote access to, visibility of, or control over your local data. Consequently:

  • Aradia LLC holds absolutely zero liability for the outputs, decisions, or hallucinations generated by local AI models.
  • You assume total responsibility for how the appliance is used in medical, legal, or financial contexts.
  • Regulatory data compliance (including HIPAA, GDPR, and SOC2) for information processed locally on the appliance is solely the responsibility of the Client.

3. Operational Boundaries & Scope Creep

Aradia is an elite AI infrastructure provider, not a general corporate IT helpdesk. Our obligations are limited to the physical hardware and pre-compiled software stack detailed in your Staging Studio Validation Report.

The "You Broke It, You Pay" Policy: If you decline a Managed SLA, you assume 100% operational responsibility the moment the appliance is delivered and powered on. If your team bypasses our containerized environments, modifies model weights, alters system dependencies, or breaks the pre-configured software stack, Aradia holds no liability. Any requests to restore, troubleshoot, or repair a self-managed system will be billed strictly at our emergency engineering rate of $450.00 USD per hour (1-hour minimum).

Out of Scope: Aradia does not manage your local LAN/WAN firewalls, troubleshoot office Wi-Fi, or clean/migrate legacy corporate databases. Any requests for custom Agent development or new data integrations outside of an active SLA are billed at the standard overage rate.

4. Managed SLA & Remote Access

If you opt into a Managed SLA, Aradia provides on-demand model updates, system optimizations, and vulnerability patching. Because your appliance is truly sovereign and air-gapped by default, Aradia cannot perform passive background health monitoring. We have zero visibility into your system status. To execute your SLA benefits, support sessions are strictly executed through a secure, client-initiated outbound WireGuard tunnel (The "Support Bridge") that your team must manually activate from the local Aradia Node Console.

5. Returns & Refunds

All sales are final once the Staging Studio Validation Report has been approved and freight has been released. No refunds or exchanges are available after delivery unless the physical hardware chassis fails to meet the specifications documented in the Validation Report.

Cryptocurrency Transactions: All hardware pricing is strictly pegged to United States Dollars (USD). In the rare event that a refund or partial credit is issued for an order originally paid via cryptocurrency, the refund amount will be strictly calculated based on the exact USD fiat value captured at the moment of the original transaction, regardless of subsequent cryptocurrency price volatility.

6. Warranty & Freight

Aradia acts as an infrastructure staging partner; we pass through the 100% default OEM warranty to you. Hardware component failures, chassis defects, and core NVIDIA software licensing are governed strictly by NVIDIA's (or the respective hardware manufacturer's) default warranty policies and RMA (Return Merchandise Authorization) procedures. Aradia holds no liability for hardware manufacturing defects. Freight is fully insured for its production value and coordinated by Aradia upon receipt of full payment. Risk of loss transfers to the buyer upon successful, signed delivery to your facility.

Supply Chain & Fulfillment Delays: Delivery timelines provided at checkout are estimates based on current OEM supply chain conditions. Aradia is not liable for manufacturing backorders or global silicon supply chain delays. A delay in hardware procurement from the manufacturer does not entitle the buyer to a refund of their staging deposit.

1. Commission Structure

Partners earn a flat 10% commission on:

  • Setup Bounties: 10% of the base DGX appliance hardware price.
  • SLA Recurring: 10% of SLA fees collected from customers who opt into monthly service-level agreements, for the lifetime of the active contract.

Commission applies to new customers acquired through the partner's unique referral link. There are no minimum sales volume requirements or payout caps.

2. Agentic Commerce & Self-Referrals

Aradia explicitly builds infrastructure for the autonomous economy.

Autonomous Partners: AI Agents operating via programmatic headers or cryptographic wallets are expressly permitted to register as Partners and route commissions to their own managed Stripe Connect accounts or treasuries.

Self-Referrals Permitted: Unlike traditional affiliate programs, Aradia permits self-referrals. AI Operators, human consultants, and autonomous agents may utilize their own partner link to procure their own hardware upgrades, effectively earning a 10% commission rebate on their own compute infrastructure.

3. Partner Eligibility & KYC

Human partners and legally registered autonomous entities must complete Stripe Connected Account onboarding, including identity verification (KYC/KYB) and bank/treasury setup. Onboarding and risk-management are handled entirely by Stripe.

4. Payouts & Taxes

Commissions are processed automatically through Stripe Connect via Split-Settlements. Payouts follow Stripe's automated schedule. Partners are entirely responsible for their own tax obligations, including reporting commissions as income. Aradia LLC utilizes Stripe to issue 1099 forms where legally required.

Chargebacks & Clawbacks: In the event that a referred customer initiates a credit card chargeback, payment dispute, or is flagged for severe fraud after a commission has been paid out, Aradia reserves the right to claw back the corresponding commission amount by deducting it from the Partner's future earnings or Stripe Connected account balance.

5. Referral Attribution

Tracking is performed via unique referral links (e.g., aradia.com/?ref=PARTNER-ID) utilizing first-party cookies, local storage, and checkout metadata. In the event of a device-hop or tracking failure, attribution is finalized by the metadata registered at the exact moment of Stripe checkout. Aradia reserves the right to determine final attribution rules.

6. Partner Conduct & Independence

Partners are independent entities. Nothing in these terms creates an employment, legal partnership, or agency relationship. Partners must not:

  • Make false or misleading claims about Aradia products, pricing, or hardware capabilities.
  • Engage in spam, payment fraud, or artificial inflation of referrals.
  • Represent themselves as Aradia employees or support staff.
  • Bid on branded Aradia keywords (e.g., "Aradia", "Aradia DGX", "Aradia AI Systems") in Google Ads, Bing Ads, or other Pay-Per-Click (PPC) search platforms to artificially hijack direct brand traffic.

Violations of trust or brand reputation will result in immediate program termination and forfeiture of pending commissions.

7. Limitation of Liability & Term Changes

Aradia shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Partner Program. Aradia reserves the right to modify these Terms & Conditions at any time. Material changes will be published to the platform and communicated to active partners.
